Article 1 – Identification of the publisher

The WellMate PRO service is published by KP INDUSTRIES, a société par actions simplifiée (SAS) registered with the Laval Trade and Companies Register under number 924 920 861, whose registered office is at 6 rue Léonard de Vinci, 53810 Changé – France.

Article 2 – Purpose of these Terms

These Terms of Use (the “Terms”) set out the conditions under which professional users (the “Coach(es)”) access and use the WellMate PRO software.

The Terms constitute a legally binding contract between the Coach and KP INDUSTRIES, within the meaning of articles 1101 et seq. of the French Civil Code.

Article 3 – Definitions
  • Platform / Service: the WellMate PRO SaaS software, accessible via an application and/or a browser.
  • Coach: any professional user using WellMate PRO in the course of their business.
  • Athlete: the Coach’s end client, using the WellMate Training application.
  • Content: all data, texts, programmes, messages, images, videos and reports created or transmitted through the Service.
  • AI: all features based on algorithmic and probabilistic automated assistance systems.
Article 4 – Scope

These Terms apply exclusively to professional users of WellMate PRO.

They are distinct from:

  • the Terms of Use applicable to athletes (WellMate Training),
  • the Terms of Sale, which govern financial matters.
Article 5 – Acceptance of the Terms

Access to the Service is conditional upon express and unreserved acceptance of these Terms.

Acceptance takes place:

  • when the Coach account is created,
  • then at each material update of the Terms.

In accordance with article 1127-1 of the French Civil Code, acceptance is given through a positive action (a checkbox that is not pre-ticked).

Article 6 – Description and nature of the Service

WellMate PRO is a professional software tool allowing Coaches to:

  • create, manage and share coaching content,
  • monitor their athletes’ training and nutrition activity,
  • use algorithmic and artificial intelligence assistance tools.

WellMate is neither a sports coach, nor a healthcare professional, nor a contractual intermediary.

The Service is solely a technical tool supporting professional activity.

How the Service operates

WellMate PRO is supplied as a professional software service accessible online.

KP INDUSTRIES implements reasonable means to ensure the reliable and secure operation of the Service, in line with SaaS industry practice.

The Coach acknowledges that using an online service involves their own technical environment, and uses the Service under their professional responsibility.

The Coach acknowledges that access to the Service is the main subject matter of the contract and that the features offered may change.

No particular feature is decisive or essential in terms of contractual consent, unless expressly stated otherwise.

Article 7 – Role and responsibility of the Coach

The Coach expressly acknowledges that:

  • they are solely responsible for the content they create, approve, transmit or apply;
  • they are solely responsible for the contractual relationship with their athletes;
  • it is for them to verify the physical and medical fitness of their clients.

In accordance with articles L.212-1 et seq. of the French Sports Code, the Coach undertakes to carry out their activity in compliance with the regulatory obligations applicable to their profession.

KP INDUSTRIES is not liable for the acts, errors, omissions, breaches or negligence of Coaches, and excludes all liability for bodily, material and intangible damage caused by and/or within establishments and/or by their products and services, whether such damage is direct or indirect.

Article 8 – Third-party sites

The Service may contain links to sites or services published by third parties, over which WellMate exercises no control.

These links are provided for information or functional purposes and imply no approval or liability on the part of KP INDUSTRIES as regards the content, services or practices of those third parties.

Use of these third-party sites or services is the Coach’s responsibility and is subject to their own terms.

Article 9 – Artificial intelligence (AI)

9.1 Nature of the AI

The AI features offered by WellMate:

  • rely on probabilistic systems,
  • may analyse, estimate, generate or summarise content,
  • may contain errors, approximations or omissions.

9.2 Responsibility

The Coach acknowledges and accepts that:

  • the AI provides neither personalised professional advice nor any guarantee of results;
  • any use of AI-generated content is entirely at their own responsibility;
  • it is for them to check, correct and approve any content before sending it to an athlete.

KP INDUSTRIES cannot be held liable, within the meaning of article 1240 of the French Civil Code, for the consequences of using AI-generated content.

Article 10 – Data and confidentiality

10.1 Data processed

The Service processes in particular:

  • training and nutrition data,
  • professional content,
  • personal data within the meaning of Regulation (EU) 2016/679 (GDPR).

10.2 Access to athletes’ data

The Coach only accesses the data of athletes expressly linked to them.

They undertake to comply with:

  • the GDPR,
  • French law no. 78-17 of 6 January 1978, as amended.

10.3 Analysis and anonymisation

The Coach authorises KP INDUSTRIES to:

  • analyse data in order to improve the Service,
  • anonymise data for statistical and technical purposes.

No commercial exploitation of identifiable data is carried out.

Article 11 – Intellectual property

The Coach remains the owner of the Content they create.

However, they grant KP INDUSTRIES a non-exclusive, worldwide, royalty-free licence, strictly necessary for:

  • hosting,
  • the operation of the Service,
  • improving the tools and the AI.

This licence ends when the account is permanently deleted, apart from statutory retention obligations.

Article 12 – Use of image and references

Unless they expressly object by writing to contact@wellmate.fr, the Coach authorises WellMate to:

  • name them as a user of the Service,
  • use their name, logo or testimonial for communication purposes.

WellMate will endeavour, without any contractual obligation, to inform the Coach before any publication.

Article 13 – Account suspension and deletion

KP INDUSTRIES reserves the right to:

  • suspend or delete a Coach account,
  • without compensation,

in particular in the event of:

  • breach of the Terms,
  • fraudulent or abusive use,
  • unlawful content,
  • legal, technical or reputational risk.

This right is exercised in accordance with article 1217 of the French Civil Code.

Article 14 – Liability and limitations

The liability of KP INDUSTRIES is strictly limited to direct and foreseeable damage.

It is expressly excluded for:

  • bodily injury,
  • data loss attributable to the Coach,
  • loss of revenue or clientele.
Article 15 – Changes to the Service and to the Terms

WellMate reserves the right to:

  • modify or remove features,
  • amend the Terms.

Any material change will be subject to prior notice and to renewed acceptance.

Article 16 – End of life of a Service version

KP INDUSTRIES may decide to discontinue an earlier version of the Service as part of the rollout of a new major version.

In that case, reasonable notice will be given to the Coaches concerned so that they can organise the transition.

Maintaining an earlier version is in no way a contractual obligation.

Article 17 – Governing law, disputes and jurisdiction

These Terms are governed by French law.

Any dispute falls within the exclusive jurisdiction of the territorially competent French courts.

Article 18 – Final provisions

If a clause is declared void, the others remain applicable.

The failure of WellMate to enforce a right does not constitute a waiver of that right.

Article 19 – Dispute resolution

In the event of a dispute relating to the interpretation or performance of these Terms, the parties will endeavour to reach an amicable solution before taking any legal action.

Failing an amicable agreement within a reasonable time, the dispute may be brought before the competent courts in accordance with the article on governing law.
