Article 1 – Identification of the publisher

The WellMate Training service is published by KP INDUSTRIES, a société par actions simplifiée (SAS) registered with the Laval Trade and Companies Register under number 924 920 861, whose registered office is at 6 rue Léonard de Vinci, 53810 Changé – France.

Article 2 – Purpose of these Terms

These Terms of Use (the “Terms”) set out the conditions under which end users (the “Athletes”) access and use the WellMate Training application.

The Terms constitute a legally binding contract between the Athlete and KP INDUSTRIES, in accordance with articles 1101 et seq. of the French Civil Code.

Article 3 – Definitions
  • Application / Service: the WellMate Training application.
  • Athlete: any person using WellMate Training as part of their coaching programme.
  • Coach: a professional using WellMate PRO and supporting the Athlete.
  • Content: data, texts, programmes, messages, photos, videos, reports and information transmitted through the Service.
  • AI: features based on algorithmic and probabilistic systems for automated analysis and assistance.
Article 4 – Scope

These Terms apply exclusively to athlete users of WellMate Training.

They are distinct from:

  • the Terms of Use applicable to Coaches (WellMate PRO),
  • the Terms of Sale, as Athletes are not paying customers of KP INDUSTRIES.
Article 5 – Acceptance of the Terms

Access to the Service is conditional upon express and unreserved acceptance of these Terms.

Acceptance takes place:

  • when the Athlete account is created,
  • then at each material update of the Terms.

In accordance with article 1127-1 of the French Civil Code, acceptance is given through a positive action (a checkbox that is not pre-ticked).

Article 6 – Description and nature of the Service

WellMate Training is an application allowing Athletes to:

  • track their training activities,
  • track their habits and nutrition data,
  • communicate with their Coach,
  • consult content created or approved by their Coach.

WellMate is neither a sports coach, nor a healthcare professional, nor a nutrition professional.

The Service is solely a digital tool for tracking and sharing information.

Article 7 – Relationship with the Coach

The Athlete acknowledges that:

  • their training and/or nutrition support is provided solely by their Coach,
  • WellMate does not take part in the contractual relationship between the Athlete and the Coach,
  • any decision relating to their sporting practice is their own personal responsibility and that of their Coach.

KP INDUSTRIES is not a party to the contract between the Athlete and their Coach.

Article 8 – Health, safety and personal responsibility

The Athlete expressly acknowledges that:

  • physical activity involves risks,
  • it is for them to verify their medical fitness to practise sport,
  • they must inform their Coach of any contraindication, medical condition or particular difficulty.

In accordance with the general principles of liability law (article 1240 of the French Civil Code), the Athlete remains solely responsible for carrying out the activities they choose to practise.

Article 9 – Artificial intelligence (AI)

9.1 Nature of the AI

Some WellMate Training features rely on artificial intelligence systems that may:

  • analyse self-reported data,
  • estimate nutritional information from text or photos,
  • generate summaries or indicators.

These features rely on probabilistic models and may contain approximations.

9.2 Limits and responsibility

The Athlete acknowledges and accepts that:

  • information produced by the AI is indicative only,
  • it constitutes neither medical advice, nor a diagnosis, nor a prescription,
  • any decision relating to their diet or sporting practice is their responsibility and that of their Coach.

KP INDUSTRIES cannot be held liable for the consequences of using information generated by the AI.

Article 10 – Personal data and confidentiality

10.1 Data processed

The Service processes in particular:

  • training and nutrition data,
  • self-reported content (messages, photos, videos),
  • personal data within the meaning of Regulation (EU) 2016/679 (GDPR).

10.2 Access to data

The Athlete acknowledges that:

  • their Coach may access some of their data as part of their coaching programme,
  • this access is strictly limited to the coaching relationship.

10.3 Analysis and anonymisation

The Athlete authorises KP INDUSTRIES to:

  • analyse data in order to improve the Service,
  • anonymise data for statistical and technical purposes.

No commercial exploitation of identifiable personal data is carried out.

Article 11 – Content and ownership

The Athlete remains the owner of the content they transmit through the Service.

They grant KP INDUSTRIES a non-exclusive, worldwide, royalty-free licence, strictly necessary for:

  • hosting,
  • the operation of the Service,
  • improving the tools and the AI.
Article 12 – Third-party sites and services

The Service may contain links to sites or services published by third parties.

These links are provided for information or functional purposes and imply no approval or liability on the part of KP INDUSTRIES.

Use of these third-party services is the Athlete’s responsibility and is subject to their own terms.

Article 13 – Account suspension and deletion

KP INDUSTRIES reserves the right to suspend or delete an Athlete account, in particular in the event of:

  • breach of these Terms,
  • abusive or fraudulent use,
  • unlawful or inappropriate content,
  • a request from the Coach or the end of the relationship with them.
Article 14 – Liability

WellMate provides digital tracking and analysis tools intended to support sporting and nutritional practice.

The Service is in no way a substitute for the expertise of a healthcare professional or a coach, nor for the Athlete’s own judgement.

WellMate cannot be held liable for the consequences of the choices, decisions or practices of the Athlete or their Coach.

Liability is expressly excluded for:

  • bodily injury,
  • consequences related to sporting practice,
  • decisions taken by the Athlete or the Coach,
  • indirect or intangible losses.
Article 15 – Changes to the Service and to the Terms

WellMate reserves the right to:

  • change or remove features of the Service,
  • amend these Terms.

Any material change will be subject to prior notice and to renewed acceptance.

Article 16 – Governing law and jurisdiction

These Terms are governed by French law.

Any dispute falls within the exclusive jurisdiction of the territorially competent French courts.

Article 17 – Final provisions

If one of the clauses of these Terms is declared void or unenforceable, the others remain fully applicable.

The failure of WellMate to enforce a right does not constitute a waiver of that right.

Article 18 – Amicable dispute resolution

In the event of a dispute relating to the interpretation or performance of these Terms, the parties will endeavour to reach an amicable solution before taking any legal action.
